8. Program Modifications & Termination

CMC Coloring Club reserves the right, at its sole discretion, to:

Terminate individual participant accounts;

9. Limitation of Liability

To the fullest extent permitted by law, CMC Coloring Club shall not be liable for:

Lost commissions;
Lost business opportunities;
Indirect, incidental, or consequential damages;
Special or punitive damages;
Technical failures affecting referral tracking;
Errors in reporting or payout calculations.

In no event shall total liability exceed the total commissions paid to the participant in the preceding twelve (12) months.

10. Independent Contractor Relationship

Referral participants act as independent contractors. Nothing in this Program creates:

Employment;
Partnership;
Agency;
Joint venture;
Franchise relationship.

Participants may not bind the Company to any agreement.

11. Governing Law

This Referral Program Disclosure is governed by the laws of the United States and the State of Florida, without regard to conflict of law principles.

Any disputes shall be resolved in the state or federal courts located in Florida, unless otherwise required under binding arbitration provisions in the Company’s Terms & Conditions.

12. Severability

If any provision of this Disclosure is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
